Effective Date: Upon publication and adoption by 1 Knowledge LLC
1. Introduction and Acceptance of Terms
Welcome to 1Knowledge Online, a business development, professional networking, collaboration, and online marketplace platform operated by 1 Knowledge LLC, a for-profit limited liability company (referred to in these Terms as “1Knowledge Online,” “Company,” “we,” “us,” or “our”).
These Terms of Use govern access to and use of our websites, related subdomains, membership features, services, and digital resources, including:
- Main Platform: https://1knowledgeonline.com/
- Professional Services: https://1knowledgeonline.1knowledgeonline.com/
- Marketplace: https://1knowledge.1knowledgeonline.com/
Together, these websites and their associated features are referred to as the “Platform.”
1Knowledge Online is designed to help entrepreneurs, independent professionals, freelancers, startups, and small businesses connect, promote their businesses, collaborate on projects, explore fundraising opportunities, advertise products and services, and participate in a business-oriented community.
By registering for an account, purchasing a membership, or otherwise accessing or using the Platform after being presented with these Terms, you agree to comply with them to the extent permitted by applicable law.
If you do not agree with these Terms, you should discontinue using the Platform.
These Terms apply to both personal and authorized commercial activities conducted through the Platform.
2. Business Purpose and Authorized Commercial Use
Unlike websites restricted to personal or noncommercial activities, 1Knowledge Online expressly permits members to use its available features for legitimate business and commercial purposes.
Subject to membership eligibility, applicable laws, and Platform policies, permitted activities may include:
- Promoting businesses, professional services, and independent ventures.
- Creating Business Spaces and professional profiles.
- Advertising products and services through designated listing features.
- Connecting with prospective customers, clients, and business partners.
- Participating in business forums, groups, and professional discussions.
- Collaborating on projects and using available project management tools.
- Conducting professional meetings using available communication features.
- Organizing and promoting permitted peer-to-peer fundraising activities.
- Publishing business-related educational content and resources.
- Networking with other entrepreneurs and community members.
Authorized commercial use does not grant permission to resell, sublicense, copy, or commercially exploit the Platform’s underlying software, proprietary content, trademarks, or technical infrastructure.
All business activities conducted through the Platform must comply with applicable federal, state, and local laws.
3. Eligibility and Member Responsibilities
Users must be at least 18 years old and legally capable of entering into binding agreements to register for a membership or conduct transactions through the Platform.
By creating an account, you represent that:
- The information you provide is accurate and reasonably current.
- You are legally authorized to conduct the business activities you advertise or perform.
- You will maintain any licenses, permits, certifications, or insurance required for your activities.
- You will comply with applicable laws and these Terms.
- You will not use the Platform for fraudulent, misleading, abusive, or otherwise prohibited activities.
If you register or use the Platform on behalf of a business or organization, you represent that you are authorized to act for that entity and, where applicable, bind it to these Terms.
Members are responsible for maintaining the confidentiality of their account credentials and notifying the Company of suspected unauthorized account access.
Access to individual services may require additional registration, verification, or permissions.
4. Membership Plans, Fees, and Billing
1Knowledge Online operates as a for-profit membership platform.
Certain resources may be available to visitors without charge, while additional features require an active paid membership.
Membership pricing, billing frequency, and included features will be disclosed through the applicable membership registration and checkout process.
Where a membership plan is offered on a recurring basis:
- The applicable recurring amount and billing frequency will be disclosed before enrollment.
- Recurring charges will be made only with the member’s authorization.
- Membership will renew according to the terms accepted during checkout unless properly canceled.
- Applicable taxes and additional charges, if any, will be disclosed as required.
- Changes to recurring membership pricing will be communicated before they apply, as required by law.
Membership fees are separate from any payments, fundraising contributions, or other financial arrangements that members may independently conduct with one another.
Membership Cancellation
Members may cancel recurring memberships through the available membership billing controls or an applicable cancellation method identified by the Company.
Cancellation of a recurring membership prevents future renewal charges once the cancellation becomes effective.
Cancellation does not automatically reverse charges already incurred. Refund eligibility is determined by the applicable refund policy, the terms disclosed at purchase, and applicable law.
Members experiencing cancellation difficulties may contact the Company through the official Support page:
https://1knowledgeonline.com/support/
We will provide a reasonably accessible cancellation process consistent with applicable law.
Paid features may become unavailable after the applicable paid membership period ends.
5. Business Spaces, Profiles, and Community Features
The Platform may provide Business Spaces, member profiles, forums, groups, messaging, collaboration tools, and other community features.
These services are intended to help users establish a business presence and communicate with other members.
Members are responsible for the information, promotional statements, advertisements, and other content they publish.
Business profiles and Spaces must not falsely represent:
- Business registration or ownership.
- Professional licensing or certification.
- Partnerships, affiliations, or sponsorships.
- Customer relationships or business achievements.
- Employment status or professional qualifications.
- Business revenue, financial performance, or customer results.
The creation of a Business Space or professional profile does not constitute certification, endorsement, or verification by 1 Knowledge LLC.
The Company does not guarantee that a Business Space, advertisement, or community interaction will generate customers, revenue, investments, or business opportunities.
6. Professional Services Listings
The 1Knowledge Professional Services website enables eligible members to advertise professional skills and services and communicate with prospective customers or clients.
Unless a particular service expressly states otherwise, 1Knowledge Online operates as a platform for listing and connecting with service providers rather than as the provider of the advertised services.
Members offering professional services are independently responsible for:
- Accurately describing their skills, qualifications, and experience.
- Establishing service prices, schedules, and deliverables.
- Obtaining necessary licenses, permits, and insurance.
- Negotiating agreements with customers.
- Performing contracted work.
- Collecting applicable taxes and meeting reporting obligations.
- Resolving service-related disagreements with customers.
Clients are responsible for evaluating providers, reviewing qualifications, negotiating service terms, and determining whether a provider is suitable for the requested work.
1Knowledge Online does not guarantee the quality, safety, legality, licensing, availability, or successful completion of services advertised by members.
Unless expressly stated otherwise, an agreement for professional services is between the service provider and customer, not between either party and 1 Knowledge LLC.
The Company does not guarantee employment, customer referrals, business contracts, or earnings from professional-service listings.
7. Marketplace Listings and Buyer–Seller Transactions
The 1Knowledge Marketplace provides a listing and communication environment where eligible members may advertise permitted products, property-related opportunities, or other authorized offerings.
The Marketplace is not an on-site retail checkout or payment-processing system for transactions between buyers and sellers.
Buyers and sellers communicate directly to negotiate transaction terms and arrange payment, pickup, delivery, or other exchanges outside the Platform.
1 Knowledge LLC does not collect, hold, or transfer payments for member-to-member Marketplace purchases.
Seller Responsibilities
Sellers are responsible for:
- Providing accurate descriptions and photographs.
- Disclosing known material defects or limitations.
- Establishing prices and acceptable payment methods.
- Confirming ownership or authority to sell an item.
- Complying with applicable product, property, and consumer protection laws.
- Arranging agreed pickup, shipping, or delivery.
- Complying with applicable tax and reporting requirements.
Buyer Responsibilities
Buyers are responsible for:
- Reviewing listings and asking relevant questions.
- Independently evaluating products and sellers.
- Inspecting items when appropriate.
- Confirming transaction conditions before exchanging payment.
- Arranging safe delivery or pickup.
- Retaining records of relevant agreements and payments.
Marketplace Transactions and Safety
All parties are encouraged to use reasonable safety precautions, including meeting in safe public locations when practical and independently verifying transaction details.
The Company does not guarantee the identity, honesty, or reliability of other Marketplace users.
1 Knowledge LLC is not the buyer, seller, shipping provider, insurer, escrow agent, or guarantor of transactions independently arranged between members.
The Company does not provide automatic refunds, purchase protection, or payment dispute resolution for transactions in which it does not receive or process payment.
Nothing in this section excludes liability that cannot legally be excluded.
8. Peer-to-Peer Fundraising
1Knowledge Online may provide tools that enable eligible members to organize, advertise, or share information about peer-to-peer fundraising campaigns.
Fundraising features are intended to facilitate community awareness, communication, and support for lawful projects, businesses, and other permitted initiatives.
Unless a specific service expressly provides otherwise, 1 Knowledge LLC does not act as the recipient, trustee, lender, investment adviser, or fiduciary for funds raised by individual members.
Campaign organizers are responsible for:
- Accurately presenting their campaign purposes and financial goals.
- Explaining how received funds are intended to be used.
- Complying with applicable fundraising and financial regulations.
- Providing truthful updates to supporters.
- Disclosing any relevant risks or conditions.
- Handling funds and applicable tax obligations appropriately.
The Company does not guarantee that fundraising campaigns will reach their goals or produce successful business outcomes.
Fundraising contributions are not automatically charitable or tax-deductible. Any tax treatment depends on the recipient, transaction, and applicable law.
Any charges from third-party payment processors or other financial services are separate from fees, if any, charged by the Company.
The Company makes no general representation that every fundraising contribution will be received without deductions or processing costs.
Members must not promote fraudulent campaigns, misrepresent how funds will be used, or offer securities or investment returns through the Platform without appropriate legal authorization.
9. Independent Businesses and No Guaranteed Results
1Knowledge Online provides business-support infrastructure, educational resources, and opportunities for communication and discovery.
The Company does not promise or guarantee specific financial, commercial, professional, or fundraising outcomes.
Membership does not guarantee:
- Business revenue or profitability.
- Customer acquisition or service bookings.
- Successful fundraising.
- Loan or grant approvals.
- Investment opportunities.
- Business partnerships.
- Employment or freelance contracts.
- Professional certification or legal compliance.
Members remain responsible for independently assessing the suitability of business opportunities and professional advice.
Information shared through articles, community discussions, tutorials, or other educational resources is intended for general informational purposes and does not replace qualified legal, financial, tax, or other professional advice.
10. User-Generated Content and Ownership
“User Content” includes text, images, videos, service listings, product listings, profiles, business descriptions, discussions, files, fundraising descriptions, and other materials submitted or published by users.
Members retain ownership of their original User Content, subject to any rights held by third parties.
By submitting User Content, members grant 1 Knowledge LLC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and technically process that content as reasonably necessary to operate, maintain, and promote the Platform and the member’s published content.
This license does not transfer ownership of User Content to the Company.
Members represent that they own or have sufficient permission to publish the content they submit.
Members must not upload material that unlawfully infringes copyrights, trademarks, privacy rights, or other legally protected interests.
The Company may remove content that violates applicable laws, these Terms, or other Platform policies.
Members should maintain independent backups of important business and personal materials. The Company does not guarantee indefinite retention of user-uploaded content.
11. Acceptable Use Policy
Users agree not to use the Platform for unlawful, fraudulent, harmful, abusive, or otherwise prohibited activities.
Prohibited conduct includes:
- Publishing intentionally false or materially misleading business claims.
- Offering illegal, stolen, counterfeit, or prohibited goods or services.
- Impersonating another person or business.
- Engaging in scams, deceptive fundraising, or financial fraud.
- Harassing, threatening, or unlawfully discriminating against others.
- Distributing malware or attempting unauthorized system access.
- Harvesting member information without authorization.
- Sending unsolicited bulk messages or spam.
- Infringing intellectual property or privacy rights.
- Publishing unlawful or exploitative content involving minors.
- Manipulating reviews, testimonials, ratings, or professional credentials.
- Using the Platform to facilitate unlawful financial or commercial activities.
- Interfering with Platform performance or other users’ access.
The Company may investigate suspected violations and take appropriate action, including removing content, restricting access, suspending accounts, or reporting suspected unlawful activities to relevant authorities.
12. Communications, Messaging, and Member Interactions
The Platform may support messaging, forums, video conferencing, group discussions, and other communication tools.
Users are responsible for the content of their communications and for determining what personal, financial, or business information they choose to share.
Members should avoid sharing confidential information unless appropriate safeguards and agreements are in place.
Information exchanged directly between users, including information exchanged outside the Platform, may not be under the Company’s control.
The Company is not automatically a party to agreements, representations, or arrangements made between users through messaging or other communication features.
13. Third-Party Services and Integrations
The Platform may rely on third-party software, hosting providers, payment processors, video conferencing systems, project management tools, plugins, or other technical services.
These services may operate under separate terms and privacy policies.
The availability of an integration does not constitute a guarantee that a third-party service will remain uninterrupted, error-free, secure, or suitable for every business purpose.
1 Knowledge LLC is not responsible for the independent conduct of third parties to the extent permitted by applicable law.
14. Intellectual Property Rights
Except for User Content and materials owned by third parties, the Platform’s original branding, software configurations, visual designs, written materials, trademarks, and other proprietary content are owned by or licensed to 1 Knowledge LLC.
Users receive a limited, nonexclusive, nontransferable, revocable right to access and use the Platform in accordance with these Terms.
Users may not:
- Reproduce or distribute proprietary Platform content without authorization.
- Copy or reverse engineer protected software except as permitted by law.
- Misrepresent ownership of the Platform’s trademarks or branding.
- Resell or sublicense Platform access without written permission.
- Use Company branding to imply an unauthorized endorsement or partnership.
The authorized commercial activities described in Section 2 remain permitted.
15. Copyright Complaints and Intellectual Property Disputes
1 Knowledge LLC respects intellectual property rights and expects users to do the same.
Copyright owners who believe their material has been unlawfully reproduced or distributed through the Platform may submit a written infringement notice containing the information required by applicable law, including identification of the copyrighted work, identification and location of the allegedly infringing material, contact information, required good-faith and accuracy statements, and a physical or electronic signature.
Valid notices will be reviewed and addressed in accordance with applicable law.
Where appropriate, users may submit a legally sufficient counter-notification.
The Company may suspend or terminate accounts of repeat infringers under appropriate circumstances.
Designated Copyright Agent:
[Insert legally designated copyright agent’s name or department, mailing address, email address, and telephone number after completing any required registration.]
16. Privacy and Personal Information
The Company’s collection, use, and handling of personal information are addressed in its Privacy Policy.
Members should review the Privacy Policy before submitting personal, business, financial, or other information through the Platform.
Privacy Policy:
https://1knowledgeonline.com/privacy-policy/
The Company may use cookies and similar technologies as described in the applicable Privacy Policy and any required consent notices.
Users are responsible for evaluating the privacy risks associated with sharing information directly with other members or third-party providers.
17. Platform Availability and Modifications
1Knowledge Online may update, improve, replace, temporarily suspend, or discontinue specific services or Platform features.
The Company does not guarantee uninterrupted access to every feature.
Service interruptions may occur because of maintenance, security concerns, third-party technical failures, or other circumstances.
Where reasonably practical, the Company may communicate material changes affecting paid memberships or important features.
Nothing in this section limits any rights that members may have under applicable consumer protection laws or express purchase agreements.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform and its informational resources are provided on an “as available” and “as is” basis.
The Company does not make guarantees regarding uninterrupted operation, error-free performance, business success, profitability, fundraising results, or the accuracy of all user-generated content.
Members are responsible for independently evaluating business decisions, transactions, advice, and opportunities encountered through the Platform.
Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.
19. Limitation of Liability
To the maximum extent permitted by applicable law, 1 Knowledge LLC and its officers, employees, and authorized representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform, including lost profits, lost business opportunities, or lost data, where such exclusions are legally permitted.
The Company is not responsible for losses caused solely by independent agreements or transactions between users over which it has no control.
Any limitation on the Company’s aggregate monetary liability must be interpreted consistently with applicable law and may not restrict rights or remedies that cannot lawfully be limited.
Nothing in these Terms excludes liability for matters that applicable law does not permit the Company to exclude.
20. Member Indemnification
To the extent permitted by applicable law, members agree to indemnify and hold harmless 1 Knowledge LLC, its officers, employees, and authorized representatives against third-party claims, damages, liabilities, and reasonable legal expenses arising from:
- The member’s unlawful conduct.
- The member’s material violation of these Terms.
- The member’s infringement of third-party intellectual property rights.
- Fraudulent or materially misleading User Content.
- Products, services, or transactions independently offered or performed by the member.
This provision does not require members to indemnify the Company for liability caused by the Company’s own unlawful conduct or where indemnification would otherwise be prohibited by law.
21. Suspension and Termination of Accounts
The Company may suspend or terminate accounts for material violations of these Terms, suspected fraud, misuse of Platform resources, unlawful activity, or significant security concerns.
Where appropriate and reasonably practicable, members may be provided with notice of account restrictions.
Members may discontinue using the Platform and cancel recurring paid memberships through the applicable cancellation process.
Upon termination, access to membership-only features may end, and user materials may be removed or retained in accordance with applicable law and the Privacy Policy.
Termination does not automatically eliminate obligations, claims, or rights that arose before termination.
22. Disputes Between Members
Members are encouraged to resolve disputes arising from independent product sales, service arrangements, or other business dealings directly with the other party involved.
The Company may review reports of misconduct or alleged violations of Platform rules but is not obligated to mediate every commercial disagreement between members.
Participation by the Company in reviewing a complaint does not make it responsible for fulfilling the underlying transaction.
Members retain any rights and remedies available under applicable law.
23. Disputes Involving 1 Knowledge LLC
Before initiating formal proceedings concerning a dispute with the Company, users are encouraged to contact the Company through its official Support page and provide a description of the issue and the requested resolution.
The parties may attempt to resolve disputes informally.
If a matter remains unresolved, the parties retain their rights to seek relief in a court of competent jurisdiction, subject to applicable law.
These Terms do not impose mandatory binding arbitration or waive participation in class proceedings.
Nothing in this section prevents users from contacting regulatory authorities or exercising legal rights that cannot be waived.
24. Changes to These Terms
1 Knowledge LLC may revise these Terms as the Platform, applicable laws, and available services evolve.
The updated version will identify its most recent revision date.
Where required by applicable law, material changes will be communicated through appropriate methods, such as website notices or email notifications, and any required consent will be obtained.
Changes will apply prospectively in accordance with applicable law and will not automatically alter rights or obligations arising before their effective date.
Users who do not agree to revised Terms should discontinue use of affected services and, where applicable, cancel their membership.
25. Electronic Communications
By using the Platform, members acknowledge that the Company may communicate about accounts, membership billing, security notifications, important policy changes, and service-related matters electronically.
Electronic communication may occur through email, Platform notifications, or other authorized communication methods.
Marketing messages will be governed by applicable law and available communication preferences.
26. General Provisions
These Terms, together with applicable policies and any additional terms expressly accepted for specific services, establish the agreement governing use of the Platform.
If a provision is determined to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Failure to enforce a particular provision does not automatically constitute a permanent waiver of that provision.
Use of the Platform does not create an employment, partnership, franchise, joint venture, or agency relationship between the Company and its members.
Members operate their independent businesses and are responsible for their own commercial activities.
The Company may assign its rights and obligations under these Terms in connection with a lawful business transfer, subject to applicable law.
